Role Description
This is a full-time, on-site Company Secretary role. The Company Secretary will oversee corporate law and secretarial compliance, including company in corporations, changes in share capital, and conversion of private limited companies into public limited companies. Responsibilities also include maintenance of statutory registers and records, and filings with the Registrar of Companies (ROC) and other regulatory authorities. The role involves drafting and reviewing board and shareholders’ resolutions, notices, minutes, and other corporate documents.
The Company Secretary will liaise with clients, auditors, and regulatory bodies to ensure timely and accurate compliance, and will support due diligence, corporate restructuring, IPO-related documentation and compliance, and closure of companies when required. The role also includes monitoring regulatory changes and advising internal teams and clients on their implications, and contributing to process improvements and documentation standards within the firm.
Qualifications
Professional qualification as Company Secretary (CS) from ICSI; (additional qualifications in law, commerce, or finance are an advantage.)
Strong knowledge of corporate law, Companies Act, ROC procedures, and secretarial standards; exposure to NGO and FCRA-related corporate compliance is beneficial.
Experience handling in corporations, changes in share capital, statutory filings, maintenance of registers, private-to-public company conversions, IPO documentation, and company closures.
Proficiency in drafting and reviewing corporate documents, including notices, agendas, minutes, resolutions, contracts, and compliance reports.
Comfort using accounting and compliance tools (e.g., Tally, Quick Books, Zoho Books, Xero) and productivity tools (advanced Excel, Google Workspace) for documentation and reporting.
Strong organizational, time management, and documentation skills with attention to detail and the ability to manage multiple client assignments.
Effective written and verbal communication skills in English; ability to interact professionally with clients, regulators, and internal stakeholders.
Prior experience in a CA/CS firm or corporate compliance; exposure to IPO processes or public company conversions is a plus.
